1. Agreement to Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SolvaPay Inc ("SolvaPay", "we", "us", or "our") governing your access to and use of the SolvaPay website, API, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
SolvaPay provides payment infrastructure for AI agents, MCP tools, and APIs. Our Services include:
- Payment processing and billing services
- API and SDK for integrating payments into your applications
- Dashboard for managing transactions and customers
- Analytics and reporting tools
- Developer documentation and support
3. Account Registration
To use certain features of our Services, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
You must be at least 18 years old and have the legal capacity to enter into binding contracts to create an account.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Services for any illegal or fraudulent activity
- Process payments for prohibited goods or services
- Violate any applicable laws, regulations, or third-party rights
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use the Services to transmit malware or harmful code
- Engage in any activity that could damage our reputation
- Resell or redistribute the Services without authorization
5. Payment Terms
5.1 Fees
Our current pricing and fees are available on our website. We reserve the right to modify our fees with 30 days' notice. Continued use of the Services after fee changes constitutes acceptance of the new fees.
5.2 Billing
Fees are billed according to your selected plan and usage. You authorize us to charge your designated payment method for all applicable fees. All fees are non-refundable except as expressly stated in these Terms.
5.3 Taxes
You are responsible for all applicable taxes related to your use of the Services, except for taxes based on our net income.
6. Intellectual Property
The Services and all content, features, and functionality are owned by SolvaPay and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. This license does not include the right to:
- Modify, copy, or create derivative works of the Services
- Reverse engineer or decompile any part of the Services
- Remove any proprietary notices or labels
- Use our trademarks without prior written consent
7. API Terms
If you use our API, you also agree to:
- Comply with our API documentation and rate limits
- Keep your API keys confidential and secure
- Not use the API in a manner that exceeds reasonable request volumes
- Not use the API to build a competing product or service
- Accept that API availability is subject to change with notice
8. Data Protection
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.
You are responsible for ensuring that your use of the Services complies with all applicable data protection laws, including GDPR where applicable.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure. You use the Services at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLVAPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SOLVAPAY IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless SolvaPay and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable laws
12. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.
Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including intellectual property, warranty disclaimers, indemnification, and limitations of liability.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date.
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
14. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and SolvaPay regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
